AGREEMENT TO TERMS
These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Finn Devs LLC ("we," "us," or "our"), concerning your access to and use of the yapbt.com website, as well as any other media form, media channel, or website related, linked, or otherwise connected thereto (collectively, the "Site").
yapbt is software for organizing and running pickleball leagues, tournaments, and open play. We provide the tools. We do not organize, host, run, officiate, or supervise the events themselves. Please read the section titled EVENTS ARE RUN BY ORGANIZERS, NOT BY US, which limits our responsibility for events listed through the Site.
You agree that by accessing the Site, you have read, understood, and agree to be bound by all of these Terms of Use. If you do not agree with all of these Terms of Use, then you are expressly prohibited from using the Site and you must discontinue use immediately.
Supplemental terms or documents that may be posted on the Site from time to time are expressly incorporated by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Use at any time and for any reason. We will alert you to any changes by updating the "Last updated" date. It is your responsibility to review these Terms periodically. You will be deemed to have accepted any changes by continuing to use the Site after revised Terms are posted.
The information provided on the Site is not intended for distribution to or use by any person or entity in any jurisdiction where such distribution or use would be contrary to law or regulation. Those who access the Site from other locations do so on their own initiative and are responsible for compliance with local laws.
The Site is intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to register for an account.
An Organizer may enter a minor as a participant in an age-appropriate division. If you do so, you represent that you are the minor's parent or legal guardian, or that you have obtained the consent of their parent or legal guardian.
EVENTS ARE RUN BY ORGANIZERS, NOT BY US
This section limits our responsibility. Please read it carefully.
yapbt is a software platform. Leagues, tournaments, and open play sessions listed on the Site are organized, operated, and controlled entirely by the individuals, clubs, and organizations that create them ("Organizers"). We are not the organizer, host, promoter, sponsor, or operator of any event.
We do not:
- own, operate, inspect, or control any venue or court
- supervise, officiate, or referee any match
- verify the accuracy of scores or results entered by users or Organizers
- vet, screen, or perform background checks on Organizers or participants
- collect, hold, or refund entry fees
- provide insurance, medical support, or safety supervision of any kind
You participate in athletic events at your own risk. Pickleball is a physical activity that carries a risk of injury. Any waiver, release, refund policy, code of conduct, or rule of play applicable to an event is a matter between you and the Organizer of that event. Any dispute regarding an event — including entry fees, eligibility, seeding, scheduling, conduct, results, or injury — is between you and the Organizer, and you release Finn Devs LLC from any claim arising from it.
If you are an Organizer, you are solely responsible for your event: for complying with all applicable laws and venue rules, for obtaining any required permits, waivers, or insurance, for the safety and conduct of your event, for the accuracy of the information you publish through the Site, and for your own refund and cancellation policies. You agree to indemnify us in connection with your event as set out in the INDEMNIFICATION section below.
COMPETITIVE INTEGRITY
Competitive events depend on honest reporting. In addition to the PROHIBITED ACTIVITIES below, you agree not to:
- enter, alter, or confirm a match score that you know to be false
- deliberately lose, underperform, or misreport results in order to qualify for a lower division ("sandbagging")
- misrepresent your age, sex, or skill level to gain entry to a division you are not eligible for
- register under a false name, register on behalf of another person without their consent, or maintain multiple accounts in order to manipulate results or seeding
- collude with another participant to manipulate results, seeding, or standings
We may, in our sole discretion and without notice, correct or void affected results, remove a participant from an event, or suspend or terminate an account in response to conduct of this kind.
YOUR ACCOUNT
You may be required to register to use parts of the Site. You agree to keep your password confidential and are responsible for all activity under your account. Notify us immediately if you believe your account has been compromised.
We reserve the right to remove, reclaim, or change a display name you select if we determine, in our sole discretion, that it is inappropriate, obscene, impersonates another person, or is otherwise objectionable.
Your name and results are public. Rosters, brackets, court assignments, scores, standings, and leaderboards are visible to other participants and, for public events, to anyone who views the event page. Do not use the Site if you do not want your name associated with the events you enter. How we handle your personal information is described in our Privacy Notice.
USER REPRESENTATIONS
By using the Site, you represent and warrant that:
- all registration information you submit will be true, accurate, current, and complete
- you will maintain the accuracy of that information and update it promptly as necessary
- you have the legal capacity to enter into this agreement and you agree to comply with these Terms of Use
- you are not a minor in the jurisdiction in which you reside, or if you are, you have your parent or guardian's permission to use the Site
- you will not access the Site through automated or non-human means, whether through a bot, script, or otherwise
- you will not use the Site for any illegal or unauthorized purpose
- your use of the Site will not violate any applicable law or regulation
If you provide information that is untrue, inaccurate, not current, or incomplete, we may suspend or terminate your account and refuse any current or future use of the Site.
PROHIBITED ACTIVITIES
You may not access or use the Site for any purpose other than that for which we make it available. As a user of the Site, you agree not to:
- systematically retrieve data or content from the Site to create or compile a collection, compilation, database, or directory without written permission from us
- collect usernames or email addresses of other users by electronic or other means for the purpose of sending unsolicited email, or create user accounts by automated means or under false pretenses
- circumvent, disable, or otherwise interfere with security-related features of the Site
- trick, defraud, or mislead us or other users, particularly in any attempt to obtain sensitive account information such as passwords
- make improper use of our support services, or submit false reports of abuse or misconduct
- engage in any automated use of the system, including scraping, data mining, robots, or similar data gathering and extraction tools
- interfere with, disrupt, or create an undue burden on the Site or the networks and services connected to it
- impersonate another user or person, or use another user's account
- sell or otherwise transfer your account or profile
- use information obtained from the Site to harass, abuse, stalk, or harm another person
- decipher, decompile, disassemble, or reverse engineer any of the software comprising the Site, except to the extent this restriction is prohibited by applicable law
- attempt to bypass any measures designed to prevent or restrict access to the Site
- harass, intimidate, or threaten any of our employees or agents
- upload or transmit viruses, malware, or any material that interferes with the operation of the Site
- use the Site in a manner inconsistent with any applicable law or regulation
WHAT YOU SUBMIT
The Site allows you to submit a limited set of information: your profile details, match scores, and — if you are an Organizer — the names and descriptions of organizations, leagues, tournaments, divisions, teams, and venues (collectively, "Submissions").
You represent and warrant that your Submissions are accurate to the best of your knowledge, are not false or misleading, do not infringe anyone's intellectual property or privacy rights, are not obscene, harassing, defamatory, or abusive, do not contain offensive content connected to race, national origin, gender, sexual orientation, religion, or disability, and do not violate any applicable law.
Venue listings are shared. Venues you add are added to a directory visible to and usable by all users of the Site. Do not add a venue listing containing personal information, and do not list a private residence without the owner's permission. We may edit, merge, or remove venue listings to keep the directory accurate.
License you grant us. You retain full ownership of your Submissions. You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute your Submissions solely for the purpose of operating, providing, securing, and improving the Site — for example, showing your name on a bracket, your score in a result, or your venue in the directory. We may also use aggregated and anonymized data derived from Submissions to analyze and improve the Site. This license ends when you delete the Submission or your account, except that results already recorded in an event's history are retained in anonymized form as described in our Privacy Notice, and except for copies retained in routine backups.
We do not claim ownership of your Submissions, and we will not sell them or use your name or likeness in advertising without your permission.
SITE MANAGEMENT
We reserve the right, but not the obligation, to: monitor the Site for violations of these Terms of Use; take appropriate legal action against anyone who violates the law or these Terms; refuse, restrict, or disable access to any of your Submissions; remove from the Site or disable files and content that are excessive in size or burdensome to our systems; and otherwise manage the Site in a manner designed to protect our rights and property and to facilitate the proper functioning of the Site.
INTELLECTUAL PROPERTY RIGHTS
Unless otherwise indicated, the Site is our proprietary property. All source code, databases, functionality, software, website designs, text, and graphics on the Site (the "Content"), and the trademarks, service marks, and logos contained therein (the "Marks"), are owned or controlled by us or licensed to us, and are protected by copyright and trademark law.
The Content and Marks are provided "AS IS" for your information and personal use only. Except as expressly provided in these Terms of Use, no part of the Site and no Content or Marks may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our express prior written permission.
Provided you are eligible to use the Site, you are granted a limited license to access and use the Site and to download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use. We reserve all rights not expressly granted.
Nothing in this section restricts your rights in your own Submissions.
COPYRIGHT INFRINGEMENT
We respect the intellectual property rights of others. If you believe that any material available on or through the Site infringes a copyright you own or control, please notify us at support@yapbt.com with enough detail to identify the material and your claim. A copy of your notice may be sent to the person who posted the material.
Please be advised that under federal law you may be held liable for damages if you make material misrepresentations in such a notice. If you are unsure whether material infringes your copyright, you should consider contacting an attorney first.
THIRD-PARTY WEBSITES AND CONTENT
The Site may contain links to third-party websites, as well as content originating from third parties. We do not investigate, monitor, or check third-party websites or content for accuracy, appropriateness, or completeness, and we are not responsible for them. Inclusion of a link does not imply endorsement. If you access a third-party website from the Site, you do so at your own risk, and these Terms of Use no longer govern.
PRIVACY
We care about data privacy and security. Please review our Privacy Notice. By using the Site, you agree to be bound by our Privacy Notice, which is incorporated into these Terms of Use.
The Site is hosted in the United States. If you access the Site from the European Union, the United Kingdom, or any other region with laws governing personal data collection or use that differ from United States law, then by continuing to use the Site you are transferring your data to the United States and consent to it being processed there.
TERM AND TERMINATION
These Terms of Use remain in full force and effect while you use the Site.
WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS OF USE, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SITE TO ANY PERSON FOR ANY REASON, INCLUDING FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS OF USE OR OF ANY APPLICABLE LAW. We may terminate your use of the Site or delete your account at any time, without warning, in our sole discretion.
If we terminate or suspend your account, you are prohibited from registering a new account under your name, a fake or borrowed name, or the name of any third party.
Where an account is terminated, results already recorded in an event's history may be retained in anonymized form so that the historical record of that event remains intact, as described in our Privacy Notice.
MODIFICATIONS AND INTERRUPTIONS
We reserve the right to change, modify, or remove the contents of the Site at any time and for any reason at our sole discretion, without notice. We have no obligation to update any information on the Site.
We cannot guarantee the Site will be available at all times. We may experience hardware, software, or other problems, or need to perform maintenance, resulting in interruptions, delays, or errors. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Site during any downtime or discontinuance — including any inability to access event schedules, brackets, or results during an event. Organizers should keep an independent record of their event and should not rely on the Site as their only copy.
Nothing in these Terms of Use obligates us to maintain and support the Site or to supply any corrections, updates, or releases.
CORRECTIONS
There may be information on the Site that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information on the Site at any time, without prior notice.
DISCLAIMER
THE SITE IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SITE AND OUR SERVICES IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND YOUR USE THEREOF, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SITE'S CONTENT, INCLUDING ANY SEEDING, BRACKET, SCHEDULE, RESULT, OR VENUE LISTING, AND WE ASSUME NO LIABILITY OR RESPONSIBILITY FOR:
- ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AND MATERIALS
- PERSONAL INJURY OR PROPERTY DAMAGE OF ANY NATURE RESULTING FROM YOUR ACCESS TO OR USE OF THE SITE, OR FROM YOUR PARTICIPATION IN ANY EVENT ORGANIZED OR LISTED THROUGH THE SITE
- ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND ANY PERSONAL INFORMATION STORED THEREIN
- ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SITE
- ANY BUGS, VIRUSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SITE BY ANY THIRD PARTY
- ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SITE
- THE CONDUCT, ACTS, OR OMISSIONS OF ANY ORGANIZER, PARTICIPANT, OR VENUE
LIMITATIONS OF LIABILITY
IN NO EVENT WILL WE OR OUR DIRECTORS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR TOTAL LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE GREATER OF THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE TWELVE (12) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING, OR ONE HUNDRED US DOLLARS ($100.00).
Certain state laws do not allow limitations on implied warranties or the exclusion or limitation of certain damages. If those laws apply to you, some or all of the above disclaimers or limitations may not apply, and you may have additional rights.
INDEMNIFICATION
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, members, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party arising out of:
- your Submissions
- your use of the Site
- your breach of these Terms of Use
- any breach of your representations and warranties set out in these Terms of Use
- your violation of the rights of a third party, including intellectual property rights
- any harmful act toward another user of the Site with whom you connected via the Site
- if you are an Organizer, any event you organize, promote, or operate — including any claim of injury, property damage, entry fee dispute, cancellation, or failure to obtain required permits, waivers, or insurance
We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. We will use reasonable efforts to notify you of any such claim upon becoming aware of it.
USER DATA
We maintain certain data that you transmit to the Site for the purpose of managing the Site, as well as data relating to your use of the Site. Although we perform routine backups, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Site. You agree that we have no liability to you for any loss or corruption of such data, and you waive any right of action against us arising from any such loss or corruption.
ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES
Visiting the Site, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing.
YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SITE. You waive any rights or requirements under any statute, regulation, rule, ordinance, or other law that requires an original signature, delivery, or retention of non-electronic records.
GOVERNING LAW
These Terms of Use and your use of the Site are governed by and construed in accordance with the laws of the State of Louisiana, applicable to agreements made and to be entirely performed within that State, without regard to its conflict of law principles.
DISPUTE RESOLUTION
Any legal action of whatever nature brought by either you or us (collectively, the "Parties") shall be commenced or prosecuted in the state and federal courts located in Orleans Parish, Louisiana, and the Parties consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to, venue and jurisdiction in such courts.
Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) is excluded from these Terms of Use. In no event shall any claim, action, or proceeding brought by either Party related in any way to the Site be commenced more than one (1) year after the cause of action arose.
CALIFORNIA USERS AND RESIDENTS
If any complaint with us is not satisfactorily resolved, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210 or (916) 445-1254.
MISCELLANEOUS
These Terms of Use and any policies or operating rules posted by us on the Site constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Terms of Use shall not operate as a waiver of that right or provision.
These Terms of Use operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control.
If any provision or part of a provision of these Terms of Use is determined to be unlawful, void, or unenforceable, that provision or part is deemed severable and does not affect the validity and enforceability of any remaining provisions.
There is no joint venture, partnership, employment, or agency relationship created between you and us as a result of these Terms of Use or your use of the Site. You agree that these Terms of Use will not be construed against us by virtue of our having drafted them.
You hereby waive any and all defenses you may have based on the electronic form of these Terms of Use and the lack of signing by the parties hereto.
